Green Wall Installation Agreement

Scope of work

W.R.G. International LLC d/b/a Andromeda District agrees to design, supply, and install a custom green wall at the client's specified installation address. Final design, plant selection, and irrigation plan will be confirmed after on-site measurement. Customer shall provide clear site access and necessary utilities (water/power) for installation.

Payment schedule

Project milestones and the mobilization of crews/materials are strictly contingent upon receipt of funds as follows: (1) 50% Deposit due upon execution of this agreement to initiate design and sourcing. (2) 25% Installment due immediately upon delivery of plants and materials to the site. (3) 25% Final Balance due immediately upon completion of installation.

1. Ownership & Personal Guarantee

Until the final balance is paid in full, the Company retains legal title to all Products. The individual signing this Agreement on behalf of the Customer represents they have full authority to do so and personally and unconditionally guarantees all of the Customer's financial obligations under this Agreement.

2. Payment & Default

Invoices are past due if not paid within 30 days. A late fee of 1.5% per month shall be added to all past-due balances. In the event of a breach, the Company may: (a) terminate the agreement; (b) retake possession of the Product (including via court order for replevin without the necessity of the Company posting a bond); and (c) hold the Customer liable for all recovery, transportation, and legal costs.

3. Inspection & Acceptance

A joint inspection will be conducted upon completion. Signature on the final inspection or the commencement of use of the Product constitutes the Customer's acknowledgment that the Product is in good repair and suitable for its needs. Company has no responsibility to inspect the Product once installation is complete.

4. Limited Warranties

Fiberglass Panels: 15-year guarantee against manufacturing defects. Irrigation/PVC Components: 5-year warranty on subcomponents. Living Plants: 90-day survival guarantee from the date of installation. Workmanship: 5-year warranty per Florida standard practices. Warranties are strictly limited to the replacement of defective parts and are void if the Product is altered, neglected, or repaired by unauthorized parties.

5. Limitation of Liability & Indemnity

The Company is not responsible for lost profits, property damage, or consequential damages connected with the Product. The Customer agrees to defend, indemnify, and hold the Company harmless from all claims, injuries, or damages (including attorney's fees) arising from the use or possession of the Product, including claims arising from the alleged negligence of the Company.

6. Site Conditions & Access

The Customer shall provide the Company with clear access to the site and necessary utilities (water/power) for installation. Any deviations from the original specifications involving extra costs will only be executed upon a written Change Order.

7. Legal Provisions

This is the Entire Agreement. The sole and exclusive venue for any litigation shall be the state courts of Florida. TRIAL BY JURY IS WAIVED. The prevailing party in any action shall be entitled to recover all reasonable attorney's fees and court costs.
